These Terms & Conditions ("Terms") govern your use of the Vista Advising Group website (the "Site") and any services provided by Vista Advising Group ("Vista," "we," "us"), including advisor recruiting, matching, facilitation, and related engagement support (the "Services").

By using the Site or engaging the Services, you agree to these Terms.

If you do not agree, do not use the Site or Services.

1) Who we are

Vista Advising Group is based in Boise, Idaho, United States.

2) Eligibility and intended use

The Site and Services are intended for business and professional use. They are not intended for children, and you may not use the Site or Services if you are not legally able to form a binding contract.

Some laws give additional rights to consumers in certain jurisdictions. If those laws apply to you, some parts of these Terms may not apply or may apply differently.

3) Changes to the Site and Terms

We may update the Site, Services, and these Terms from time to time. The "Last updated" date shows when these Terms were last revised. Your continued use after changes means you accept the updated Terms.

4) Privacy

Your use of the Site is also governed by our Privacy Policy.

5) Acceptable use

You agree not to misuse the Site or Services. This includes:

• attempting to access systems or accounts you are not authorized to access
• interfering with the Site's operation or security
• introducing malware, scraping, or automated abuse
• submitting false, misleading, or unlawful information
• using the Site to infringe intellectual property or privacy rights

We may suspend or terminate access if we believe you have violated these Terms.

6) Booking calls, forms, and communications

If you submit a form, book an intro call, or otherwise contact us, you agree that we may respond using the contact information you provide. If you opt into marketing communications, you can unsubscribe at any time.

6A) Phone calls and text messages

If you provide a phone number, you authorize Vista to contact you at that number for service-related purposes, including responding to inquiries, scheduling or confirming calls, sending reminders, and providing information you request. These messages may be sent via phone call, SMS, or similar means.

If you opt in where required, Vista may also send marketing or promotional messages. Message and data rates may apply. Message frequency varies.

You can opt out of marketing text messages at any time by replying STOP. For help, reply HELP, or contact privacy@vistaadvisinggroup.com.

Opting out of marketing text messages will not affect service-related communications you request. However, if you request that we stop all texts, certain features such as text-based confirmations or one-time verification messages may not be available.

Delivery of text messages is not guaranteed and may be affected by your carrier or device.

7) Services overview

Vista provides Services that may include:

• advisor recruiting and sourcing, including outbound recruiting
• advisor screening and vetting
• introductions between leaders and advisors
• facilitation and operational support for an advisor engagement, which may include coordinating scope, cadence, and commercial terms
• other services that Vista may offer from time to time, such as assessments, workshops, webinars, and group programs

Not all Services are available in every situation. We may refuse Services if we believe there is no fit, there is a conflict, or the request is outside our scope.

Communications providers

Vista may use third-party platforms to send emails, schedule calls, manage forms, and deliver communications (including SMS), such as CRM and scheduling tools. Your use of those services may be subject to their terms and policies, and Vista is not responsible for their availability or performance.

8) Engagement-specific terms control

Many Services will be governed by additional written terms, such as a statement of work, engagement letter, scope document, program terms, or similar ("Engagement Terms").

If there is a conflict between these Terms and any Engagement Terms, the Engagement Terms will control for that specific engagement.

9) Advisor recruiting service

If you engage Vista for advisor recruiting and matching, the Service is generally structured as follows:

A. Intake and sourcing

You participate in an intake process so we can understand your context and what you need in an advisor. Vista may recruit from our network and may recruit outside our network. In many cases, Vista will recruit outside our network to find the best fit.

B. Deliverable

Vista will provide up to five advisor introductions that Vista believes are qualified for your stated goals and constraints, subject to availability and practical limits.

C. Screening

Vista may conduct preliminary interviews or screening before making introductions. You remain responsible for evaluating fit through your own conversations.

D. No rematch policy

Vista does not offer a rematch policy. Advisors are not a commodity, and we do not support unlimited swapping. If you want to restart the search, you may choose to re-engage the advisor recruiting service under then-current terms.

E. No guarantee

We do not guarantee outcomes, specific results, or that any introduction will lead to a final engagement.

10) Facilitation and engagement support

Vista may facilitate advisor engagements after introductions are made. Facilitation can include helping coordinate scope, cadence, expectations, and commercial terms.

Engagements may be structured in different ways, including:

• advisory relationships
• fractional leadership roles
• project partner support
• blended models based on the needs of the business

Because engagements vary, the specific structure, scope, compensation, and responsibilities will be addressed in Engagement Terms.

11) Advisor relationship and independence

Unless explicitly stated in Engagement Terms, advisors are independent professionals. Vista does not control how an advisor delivers their work.

Vista is not responsible for:

• the advisor's professional judgments or advice
• the leader's decisions or actions taken based on advice
• third-party outcomes, including vendor performance or implementation results

You are responsible for your business decisions and for selecting qualified professionals for legal, tax, financial, investment, or regulated matters.

12) No professional advice

The Site and any general materials (including Insights content) are provided for informational purposes only. They are not legal advice, tax advice, financial advice, or investment advice.

You should consult qualified professionals as needed. In jurisdictions that limit disclaimer scope for certain liabilities or consumer rights, those legal limits still apply.

13) Fees, payment, and refunds

If the Services involve fees, payment terms will be described in Engagement Terms or otherwise agreed in writing.

Unless otherwise stated in writing:

• fees are due as invoiced
• fees are non-refundable once work has begun (including recruiting/outbound sourcing activity)
• you are responsible for taxes, if applicable

Vista may change pricing or packaging for future Services.

14) Confidentiality and sensitive information

You agree not to send sensitive personal information through basic website forms. If we introduce secure intake workflows in the future, we will provide appropriate instructions.

Where appropriate, Vista may use NDAs or written confidentiality terms for specific engagements. If you or an advisor need confidentiality protections beyond these Terms, that should be addressed in Engagement Terms or an NDA.

15) Third-party tools, links, and embeds

The Site may use or link to third-party services such as scheduling tools, CRM and email platforms, analytics, advertising pixels, consent tools, and social embeds (including LinkedIn). Your use of third-party services may be subject to their terms and policies.

Vista does not control third-party services and is not responsible for their availability, security, or content. LinkedIn plugins are provided by LinkedIn and may process data as part of their operation.

16) Intellectual property

The Site and its content (text, graphics, branding, design, and related materials) are owned by Vista or its licensors and are protected by intellectual property laws.

You may view and use the Site for your internal business purposes. You may not copy, reproduce, distribute, modify, or create derivative works from the Site content without written permission.

17) Disclaimers

The Site and Services are provided "as is" and "as available." To the maximum extent permitted by law, Vista disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Vista does not warrant that the Site will be uninterrupted, error-free, or secure.

18) Limitation of liability

To the maximum extent permitted by law:

• Vista will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, loss of data, or business interruption.
• Vista's total liability for any claim related to the Site or Services will not exceed the total fees paid to Vista for the specific Service giving rise to the claim in the twelve months before the event that caused the claim. If no fees were paid, Vista's liability will not exceed $100.

Some jurisdictions do not allow certain limitations. In those cases, the limitation applies to the maximum extent permitted.

Limitation of liability clauses are a common risk allocation feature in commercial terms.

19) Indemnification

You agree to indemnify and hold Vista harmless from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or Services, your violation of these Terms, or your violation of any law or third-party rights.

20) Dispute resolution, arbitration, and class action waiver

Please read this section carefully. It affects your rights.

A. Informal resolution first

Before filing a claim, you agree to contact us at privacy@vistaadvisinggroup.com and attempt to resolve the dispute informally.

B. Arbitration

Except for disputes that qualify for small claims court or claims for injunctive relief related to misuse of intellectual property, you agree that disputes arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules.

The arbitration will take place in Ada County, Idaho, unless the parties agree otherwise, or unless applicable law requires a different location for a specific category of claim.

AAA provides published rules and fee structures for arbitration.

C. Class action waiver

You agree to bring claims only on an individual basis. You waive the right to participate in a class action, class arbitration, or representative action to the maximum extent permitted by law.

D. Consumer-specific limitations

Some jurisdictions impose additional requirements or limits for consumer arbitration clauses. If those laws apply to you, this arbitration section will be interpreted to comply with them to the extent required.

21) Governing law

These Terms are governed by the laws of the State of Idaho, without regard to conflict-of-law principles, except where applicable law requires otherwise.

22) Termination

We may suspend or terminate your access to the Site or Services at any time if we believe you have violated these Terms or if continuing would create legal, security, or reputational risk.

23) Miscellaneous

• Severability: If any part of these Terms is found unenforceable, the rest remains in effect.
• No waiver: Failure to enforce a term is not a waiver.
• Assignment: Vista may assign these Terms as part of a merger, acquisition, or corporate restructuring.
